Terms

These are the Terms and Conditions of Use of Pulse Radiology Education, LLC, a Delaware limited liability company (“Pulse”). By accessing Pulse’s website (pulseradiology.com) (the “Website”) or utilizing any products or services offered by Pulse (the “Products”), you are agreeing to be bound by these Terms and Conditions of Use, all applicable laws and regulations, and agree that you are responsible for compliance with any applicable local laws. If you do not agree with any of these terms, you are prohibited from using or accessing the Website, the Products, or the Materials (defined below) associated therewith.

These Terms and Conditions of Use apply to students that have enrolled in a program offered by Pulse (each a “Program”), with such persons referred to herein in the singular as “Student” and in the plural as “Students.”

The Programs and Clinical Experiences

  1. Each Program offered by Pulse is composed of a didactic component, which is provided online by Pulse, and a clinical component that is provided by our clinical partners.
  2. Students must complete the didactic portion of the Program within one (1) year from the Student’s start date. In the event the Student fails to complete the didactic portion of the Program within one (1) year of the Program start date, then Pulse will have no obligation to place the Student at a clinical site and the Student will not be entitled to any refund.
  3. Once a student begins a clinical rotation at a clinical site, the Student must devote a minimum of 16 hours per week at the clinical site and must complete the clinical component of the Program within three (3) months of starting the clinical rotation. The Student is responsible for ensuring punctual and consistent attendance while participating in the clinical experience.
  4. While Pulse will use commercially reasonable efforts to place every student, Pulse does not guarantee the Student will be placed with a clinical site. The location of clinical sites are not guaranteed and many clinical assignments will require travel within a ninety-nine (99) mile radius from the Student’s residence and/or out-of-town lodging at the Student’s own expense. Pulse is only responsible for identifying one (1) clinical site within the ninety-nine (99) mile radius of the Student’s residence that is appropriate to allow the Student to complete the clinical requirements established by the American Registry of Radiologic Technologists (“ARRT”). If the Student declines the proposed clinical site, Pulse shall not be obligated to identify additional clinical sites for the Student’s participation.
  5. If the Student’s residence changes from the residence provided to Pulse upon enrollment, Pulse will make a reasonable effort to place the Student at a clinical site in the new jurisdiction but is not liable to issue any refund if the Student cannot be placed within a ninety-nine (99) mile radius of the new residence.
  6. Students are permitted to submit a schedule of availability for participation in the clinical experience, but the availability of the clinical site will determine the Student’s schedule and the Student will be required to follow the given schedule. Pulse makes no guarantees that the final schedule provided to the Student will align with the Student’s preferred schedule.
  7. Pulse is not responsible for any travel, lodging, or other expenses related to the Student’s participation in any clinical experience. The Student also acknowledges that many clinical sites require Students to obtain professional liability insurance or other types of insurance coverage, which the Student must procure at the Student’s own expense. The Student is also responsible, at the Student’s own expense, for meeting any eligibility criteria outlined by the clinical partner for participating in the clinical experience, including background screenings, drug tests, immunizations, or any other specific items requested by the clinical site.
  8. The Student’s participation in any clinical experience is subject Pulse’s Student Clinical Expectations, which are incorporated herein. Students participating in a clinical experience are expected to comply with all applicable laws and regulations, and all policies and procedures established by the clinical site. Students must conduct themselves in a professional and ethical manner while participating at a clinical site.
  9. In the event the Student is removed from the clinical experience by the clinical partner due to tardiness/absenteeism, failing to meet the expectations of the clinical site, failing to abide by the clinical site’s policies and procedures, unprofessionalism, unethical behavior, violations of the law, or for any other reason, the Student will not be entitled to any refund. Pulse also reserves the right to remove any student from the Program for cause who engages in misconduct or any conduct that violates these Terms and Conditions of Use, the Student Clinical Expectations, the terms of any Enrollment Agreement, the policies of the clinical site, or the law. Students removed by Pulse or the clinical site are not eligible for a refund nor is Pulse liable for finding a secondary site to host the Student.
  10. Pulse cannot guarantee a clinical site will offer all clinical exams, experience with machinery from a specific vendor, or a certain amount of clinical exam volume.
  11. Pulse is not an accredited institution but is approved by ARRT.

Use License

  1. The Products and all course materials, including, but not limited to, lectures, presentations, videos, readings, images, tests, and assessments (collectively, the “Materials”), are owned by or licensed to Pulse. The parties agree that Pulse shall continue to own all right, title, and interest in and to the Website, Products, and Materials and all copyright, patent, trademark, trade secrets, and all other intellectual property rights embodied therein or related thereto including, but not limited to, the source and object codes and any customizations, modifications, versions, updates, and corrections to the Website, Products, and Materials.
  2. Pulse hereby grants to its Students a limited, non-exclusive, non-transferable license to use and access the Products and Materials that relate to the Program in which the Student is enrolled for the sole purpose of educational use as a Student in completing the enrolled Program. The license granted hereunder does not extend to the general public, but only those Students that have properly enrolled in one of Pulse’s offered Programs, remain in good standing with Pulse, and subject to all limitations set forth in these Terms and Conditions of Use. Members of the public who are not Students enrolled in a Program may not access or utilize the Products or Materials for any reason whatsoever.
  3. Students are permitted to download one copy of the Materials for use in connection with the Student’s completion of the enrolled Program. Students are not permitted to make additional copies of the Materials or to publish or distribute the Materials to any other person.
  4. Pulse reserves all rights not expressly granted hereunder. Students are prohibited from (i) renting, copying, lending, or publishing the Products or Materials; (ii) utilizing the Products or Materials for a commercial purpose; (iii) publishing the Products or Materials publicly, whether for a commercial or non-commercial purpose; (iv) removing any copyright, trademark, or other notations from the Products or Materials; (v) modifying that Products or Materials or creating derivative works thereof; (vi) transferring or transmitting the Products or Materials to any unauthorized person, (vii) circumventing intentional technical limitations and restrictions set in place by Pulse relating to the Website, Products, or Materials; (viii) transferring the Products or Materials to a third party; (ix) allowing any unauthorized party to utilize the Products or Materials; (x) reverse engineering, decompiling, or disassembling the Website, Products, or Materials; (xi) utilizing the Website, Products or Materials for any improper or illegal purpose; (xii) utilizing the Website, Products, or Materials in any way that could interfere with anyone else’s use, or to try to gain access to or use any service, data, account, or network in an unauthorized manner; and (xiii) utilizing the Website, Products, or Materials for any purpose or in any manner that violates Pulse’s intellectual property rights.
  5. This license shall automatically terminate upon the Student’s completion of the Program, removal from the Program, or if the Student violates any of the terms and conditions set forth herein. Upon the conclusion or termination of the Student’s participation in the Program, the Student must destroy any downloaded Materials in the Student’s possession whether in electronic or printed format.

Payment of Fees and Costs

  1. In consideration for enrolling in the Program, Students agree to pay all costs and fees related to the Program, the payment of which shall only be refundable in accordance with these Terms and Conditions of Use and the terms described in the Student’s Enrollment Agreement, if the Student executed an Enrollment Agreement.
  1. Pulse also reserves the right to charge the Student credit card or other payment processing fees or surcharges, subject to applicable law, which will be disclosed to the Student prior to payment.
  2. By enrolling in the Program, the Student expressly authorizes Pulse to charge the Student all fees and costs that are disclosed to the Student at the time of enrollment or agreed upon by the parties thereafter.

Withdrawals, Cancellations and Refunds

  1. The Student shall have the right to receive a 100% refund if the Student sends a cancellation notice within five (5) days of enrolling in the Program. No refunds will be given six (6) or more days after enrollment. In addition, if the Student purchased the Program with a discount applied, no refunds will be given. Cancellation is effective on the date the written notice of cancellation is made by the Student. Any cancellation notice must be sent via email to the following email address: [email protected]. For qualifying refunds, Pulse will make the refunds within 30 days of the date Pulse receives the cancellation notification.
  2. If, despite all reasonable efforts by Pulse, the Student is unable to be placed at a clinical site within eight (8) months of completing the didactic portion of the Program, the Student may be eligible for a $500 clinical refund, subject to the eligibility criteria set forth in the Terms and Condition of Use and in this Agreement. In the event that Pulse identifies a clinical site for the Student’s clinical experience and the Student declines to participate at such clinical site, the Student will not be entitled to any refund if Pulse is unable to identify another suitable clinical site willing to accept the Student. Nothing herein shall be construed as requiring Pulse to identify a secondary location. In addition, a Student is ineligible for a refund if (i) the Student failed to complete the didactic portion of the Program within one (1) year from the start date; (ii) the Student is removed from the clinical experience by Pulse or the clinical partner; (iii) the placement was arranged through a current employer of the Student and the Student’s employment status changes prior to clinical placement; (iv) the Student’s residence changes after enrollment in the Program; (v) the Student fails to comply with or violates any of the terms and conditions set forth in these Terms and Conditions of Use, the Student Clinical Expectations, or the Student’s Enrollment Agreement; or (vi) for any other circumstance described in these Terms and Conditions of Use or the Enrollment Agreement (if any) under which a Student is ineligible for a refund.
  3. Pulse’s obligation to place the Student at a clinical site within eight (8) months of the Student completing the didactic portion of the course is subject to and the placement period shall automatically be extended, to the extent that performance is delayed, prevented, or made impracticable by events beyond Pulse’s reasonable control, including but not limited to acts of God, natural disasters, public health emergencies or pandemics, labor disputes, acts or omissions of clinical partners, governmental actions, changes in law that impact the Program, or any other similar cause beyond Pulse’s reasonable control (each, a “Force Majeure Event”). In the event of a Force Majeure Event, the eight (8) month placement period shall be tolled for the duration of the Force Majeure Event, and Pulse shall resume placement efforts as soon as reasonably practicable after the Force Majeure Event concludes.

Disclaimer

  1. PULSE PROVIDES THE WEBSITE, PRODUCTS, AND MATERIALS ON AN “AS IS,” “WITH ALL FAULTS” AND “AS AVAILABLE” BASIS. PULSE DOES NOT GRANT ANY OTHER WARRANTIES, GUARANTEES OR CONDITIONS, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, ALL OF WHICH ARE HEREBY DISCLAIMED BY THE STUDENT. THESE DISCLAIMERS WILL APPLY TO THE FULLEST EXTENT PERMITTED UNDER APPLICABLE LAW.
  2. Pulse does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the Website, Product, and Materials or on any sites or materials linked therein.
  3. In no event does Pulse warrant that the Website, Products, or Materials will be error free or that the Student will be able to access the Website, Products, or Materials without problems or interruptions. The Student acknowledges that the availability of the Website, Products, and Materials may depend upon the availability of the internet, utilities, and any cloud computing service provider or web hosting provider that Pulse utilizes, and Pulse has no control over such availability. Pulse makes no representations, warranties, or covenants regarding the availability of the Website, Products, or Materials to the extent that such availability depends upon factors outside of Pulse’s direct control. The Student further acknowledges that the Website, Products, and Materials may be temporarily unavailable at times for scheduled maintenance, unscheduled emergency maintenance, or causes beyond Pulse’s reasonable control, and Pulse will not be liable to the Student as a result of these temporary interruptions.
  4. Pulse makes no representations and disclaims any liability for content that may be linked in any Products or Materials to a third-party website or platform.
  5. Pulse does not guarantee the Student will successfully pass the ARRT registry or any exams, nor that the Student will satisfy the licensing and certification requirements of the ARRT.
  6. Pulse does not guarantee job placement for any Student upon completion of the Program. Pulse does not provide job placement services as part of any Program.
  7. Students who are certified through the American Registry for Diagnostic Medical Sonography (“ARDMS”) in sonography and who are not certified radiologic technologists with experience injecting contrast may experience lower rates of job placement.

Limitations

To the maximum extent permitted by law, Pulse shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including but not limited to loss of profits, data, opportunity, or business) arising from or related to any Student’s use of the Website, the Products, or the Materials, or the Student’s enrollment in the Program or placement with a clinical partner. Pulse also disclaims and shall not be liable for the negligence or intentional misconduct of a clinical partner. The total aggregate liability to the Student in connection with the Website, the Products, the Materials, and the Programs shall not exceed the amount the Student paid to Pulse in connection with such services. Notwithstanding the foregoing, nothing herein shall be construed as altering the terms and conditions for refunds state elsewhere in these Terms and Conditions of Use.

Indemnification

The Student agrees to indemnify, defend, and hold harmless Pulse, and its officers, directors, employees, and agents from and against any losses, expenses, or damages that may be incurred by Pulse due to the Student’s negligence or intentional misconduct, or due to any violation of these Terms and Conditions of Use, the Student Clinical Expectations, the Student’s Enrollment Agreement. The indemnification obligations hereunder extend to any claims from third parties relating to the Student’s participation at any clinical site, including claims relating to the negligence or intentional misconduct of the Student.

Venue & Applicable Law

In the event of any dispute between the parties, venue shall lie exclusively in the state and federal courts with jurisdiction over Waukesha, Wisconsin, and the Student hereby consents to the personal jurisdiction of such courts. The laws of the State of Wisconsin, United States, shall control with respect to these Terms and Conditions of Use without regard to its conflict of law provisions.

Modifications

Pulse reserves the right to modify the Program, the Website, the Products, and the Materials and any schedules, policies (including the Student Clinical Expectations), and clinical partner arrangements. In addition, Pulse may revise these Terms and Conditions of Use at any time. In the event Pulse does so, Pulse will post the revised Terms and indicate the effective date. Continued use of the Website, the Products, the Materials, or the Program after modifications constitutes your acceptance of the revised Terms and Conditions of Use.

Severability & No Waiver

If any provision of these Terms and Conditions of Use is invalid or unenforceable under applicable law, that provision shall be struck, and the remainder shall remain in full force and effect. Pulse’s failure to enforce any right or provision of these Terms and Conditions of Use will not be deemed a waiver of such right or provision.

Entire Agreement

This represents the entire agreement and understanding between the parties and supersedes any previous agreements, whether oral or in writing, relating to the subject matter hereof, other than those terms that may be separately agreed upon by the parties within the Enrollment Agreement, if the Student executed an Enrollment Agreement. If the Student has entered into an Enrollment Agreement with Pulse, the terms of the Enrollment Agreement shall control in the event of any conflict with these Terms and Conditions of Use or the Student Clinical Expectations.
